THE FOLLOWING BASS PROMOTION IS INTENDED ONLY FOR LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA (EXCLUDING WITHOUT LIMITATION, PUERTO RICO AND OTHER U.S. TERRITORIES AND FOREIGN TERITORRIES) ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT PROCEED WITH THIS CONTEST IF YOU ARE NOT A RESIDENT OF THE 50 UNITED STATES, LOCATED IN PUERTO RICO, OTHER U.S. TERRITORIES OR FOREIGN TERRITORIES. These are the official rules (the "Official Rules") for the BASS FANTASY FISHING Game (the "Promotion"). The Promotion is sponsored by ESPN/Starwave Partners d/b/a ESPN Internet Ventures ("EIV" or the "Sponsor"), 19 East 34th Street, 6th Floor, New York, NY 10016.

1. ELIGIBILITY. Open to legal residents of the 50 United States and Washington D.C., (EXCLUDING, WITHOUT LIMITATION, SUCH RESIDENTS OF PUERTO RICO AND OTHER U.S. TERRITORIES AND FOREIGN TERRITORIES), who are 13 years of age or older in their state of residence as of the date of entry and who are registered members of ESPN.com, (an "Entrant," "Player" or "You"). Registration is further described below. In order to be eligible for the Grand Prize, Entrants must be active members of Bass Insider as of the date of entry and throughout the Promotion Period. The following are not eligible for the Promotion: (i) employees and agents of Sponsor and its respective parent, subsidiary and affiliated companies, franchisees and licensees, and its respective advertising/promotion agencies (collectively the “ Promotion Entities”); and (ii) the "immediate family members" and/or "household members" of any of the persons set forth in (i) above. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings or spouses. "Household members" shall mean people who share the same residence at least three (3) months a year. The Promotion is void where prohibited by law. Participation in the Promotion constitutes Entrant's full and unconditional agreement to these Official Rules and to Sponsor's decisions. The decisions of the Sponsor regarding all matters relating to the Promotion are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. 2. PROMOTION PERIOD.  Pre-Registration begins February 6, 2008 4:00:00 PM. The Promotion begins on February 6, 2008 12:01:00 and ends August 7, 2008 11:59:59 (the “ Promotion Period”). For purposes of these Official Rules, all times are Eastern Standard Time (EST). THIS IS A GAME OF SKILL. WINNERS WILL BE DETERMINED BY THE OBJECTIVE CRITERIA SET FORTH BELOW. The Promotion will consist of twelve (12) separate tour events (each a "Tournament") during the period of February 22, 2008 through August 10, 2008. For each Tournament, prizes will be awarded to the Player or Players who accumulate the greatest number of points as specified below. For the season, prizes will be awarded to the Player or Players who accumulate the greatest number of points over the course of the season. The Grand Prize will be awarded to the Bass Insider member who is a BASS Insider Member as of 11:59:59 PM February 21, 2008 and is still an active BASS Insider Member as of 11:59:59 PM August 10, 2008 who accumulates the greatest number of points over the course of the season.

. 3. HOW TO ENTER: To access the Promotion , log on to ESPN.com, ESPNOutdoors.com, or Bassmaster.com and click on the link to "Fantasy". To enter the Promotion , You must be a member of espn.com or one of our family of sites (ABC.com, ABCNEWS.com, Disney Online, EXPN.com, Family.com, Movies.com). Registration is free. If You are not a member, You may register by clicking on the link as indicated on the Promotion  entry page and following the instructions. You will be asked to provide your name, e-mail address, zip code, birth date, gender, and to select a password. You will also be asked to consent to receive promotional e-mails. Consenting to receive promotional e-mails is optional and does not have to be agreed to in order to become a member or to win a prize. As a member, You may enter the Promotion  by first logging in to the system with your current username and password. You may then be asked to answer survey questions or to consent to receive promotional e-mails from the Sponsor. Answering survey questions or consenting to receive promotional e-mails is optional and does not have to be agreed to in order to be eligible to enter the Promotion  or to win a prize. To complete your entry, click on the "Confirm Entry" button.

A. Definitions:
"Limit" shall refer to a scenario where an Angler catches five (5) fish in any given day, indicating they have caught the "limit".
"Tour" shall refer to the Bassmaster Tournament Trail.
"Tournament" shall refer to one of the twelve (12) fishing tournaments consisting of eleven (11) Elite tournaments, plus the Bassmaster Classic tournament.
"Entrant or Player" shall refer to a person who has entered the Promotion  in compliance with these Official Rules.
"Angler or Professional" shall refer to a real person who participates in the Tour or a Tournament upon which the Promotion  is based.
"Team or Roster" shall refer to a team of exactly five (5) Professionals chosen by a given Entrant for a particular Tournament.
"Tournament Ranking" shall refer to the results of the Promotion  based on a given Tournament.
"Season Ranking" shall refer to the cumulative results of the Promotion  based on all Tournaments to date.
"Catch" shall refer to the total fish caught by a Professional and submitted by him for weigh-in on a given day of a Tournament.
"Big Bass" shall refer to the weight of the heaviest bass caught by a Professional in a Tournament, after all deductions and penalties applied by the official Tour upon which the Promotion  is based in accordance with its official rules and rulings. In the event that two or more Professionals tie for Purolator Big Bass in a Tournament, all will be considered to have won Purolator Big Bass for that Tournament.
"Heaviest Catch" shall refer to the weight of the catch, after all deductions and penalties applied by the official Tour upon which the Promotion  is based in accordance with its official rules and rulings. In the event that two or more Professionals tie for Heaviest Catch in a Tournament, all will be considered to have won Heaviest Catch for that Tournament.

B. Choosing a Roster: Each Entrant must select exactly five (5) Professionals from those Professionals who are entered into a Tournament (the "Roster"). An Entrant may finalize his Roster for a Tournament as late as 9:00:00 AM ET on the first day the Tournament begins. Up until the deadline, an Entrant may change the members of his or her Roster for that Tournament as often as he or she likes, but no changes are permitted thereafter. No Roster selection for a Tournament will be permitted after the deadline for that Tournament has passed, and any attempts to make changes or enter a Roster for that Tournament will be rejected. In the event that an Angler on an Entrant's Roster does not compete, or if, for any reason, a Professional begins but is not able to finish a Tournament, and the entry deadline has passed for that tournament, a replacement cannot be chosen for that Tournament

C. Scoring Guidelines: Players select Anglers for their active Rosters. There is a 5-Angler limit on your Roster and all positions must be filled in order for your Team to participate in a Tournament. You may change your selections as many times as you choose until 9:00:00 AM ET on the first day of the actual Tournament. Each Player will have points added or deducted based on his or her selected Team members' performance using the following guidelines: Points for Tournament Rankings are awarded, based upon published results. Most Tournaments are four (4) full days of fishing. Some Tournaments will be based upon three (3) days of fishing. All Tournaments will be scored according to the following ranking system:
(1) On each day of a Tournament, every Roster that includes the Professional who caught the Big Bass will be awarded ten (10) points.
(2) On each day of a Tournament, every Roster that includes the Professional who caught the Heaviest Catch will be awarded ten (10) points.
(3) On each day of a Tournament, every Roster that includes a Professional who caught the Limit will be awarded five (5) points.
(4) On each day of a Tournament, every Roster that includes a Professional who did not present any legal fish for weigh-in will lose five (5) points.
(5) Each Angler's rank is based on the official tournament standings released after each day of a Tournament.
(6) During each Elite series tournament, the field of Anglers is cut to 50 on Day 3 and then to 12 Anglers on the final day of competition. All weighs are cumulative.

BASS Fantasy Fishing accumulates points based on the 2008 Bassmaster Classic finishing rank and Toyota Tundra Angler of the Year points awarded for each 2008 Bassmaster ELITE SERIES event:

D. Season Rankings Scoring: Season Rankings are cumulative through Elite tournament #11 (September , 2008). Limit one (1) entry per person or e-mail address. If more than (1) entry is received per person or e-mail address that person will not be eligible to win prizes. Entry is not valid if it does not include your first and last name, complete mailing address, country, phone number, age and a valid e-mail address. All materials become the property of EIV and none will be returned. After entering, Entrants may access their Team to track performance. Entrants' names and standings may be listed on the espn.go.com website. In the event of a dispute about the identity of the online Entrant, entry will be awarded to the individual registered with our family of sites (as described in Paragraph s, How to Enter) . The potential winner may be required to provide EIV with proof that they are the registered individual associated with the winning entry. E-MAIL CHANGE OF ADDRESS POLICY: It is the sole responsibility of the Entrant to notify Sponsor if his or her e-mail address changes. To do so, click on the help link at the bottom of any espn.com page, then click on the Change Personal Information link and follow the instructions. Sponsor and its agencies are not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed phone or computer hardware or software or telephone transmissions or technical failures, garbled or jumbled transmissions or other errors of any kind, whether human, mechanical or electronic, including without limitation, the incorrect or inaccurate capture of entry information online, or for lost, late, incomplete, damaged, destroyed, delayed, stolen, misdirected or illegible entries. Entry materials/data that have been tampered with or altered are void. Once submitted, entries become the sole property of Sponsor and will not be returned. (HOW ARE TIES GOING TO BE BROKEN?)

4. PRIZE(S)/APPROXIMATE RETAIL VALUE/ODDS OF WINNING:
Inasmuch as this is a game of skill, there are no "odds" of winning. Winners are determined solely by their skill and not by chance or odds.

Grand  Prize-

In the 2008 BASS Fantasy Fishing game, one special Grand Prize will be awarded to the BASS Insider Member who is a BASS Insider Member as of 11:59:59 PM February 21, 2008 and is still an active BASS Insider Member as of 11:59:59 PM August 10, 2008 who accumulates the greatest number of points over the course of the season.

BASS Insider Grand Prize will consist of a trip for two (2) to the Anglers Inn Resort at Lake El Salto, Mexico, which will include round-trip airfare from the nearest major airport, 4-night/5-day lodge accommodations, 3 daily meals and 3 guided fishing days (excluding tackle - rods/reels, transfers, tips & incidentals). (Approximate Retail Value of Prize: $4,999)

Approximate Retail Value of Prizes ("ARV"): $400 for each Bassmaster Tournament Trail event, $1,900 for the Bassmaster Classic event; $15,800 for Season-long prizes. Prizes returned as undeliverable or otherwise not claimed within fourteen (14) days after being sent will be forfeited and awarded to an alternate winner. Prizes are not transferable. No prize substitution except at Sponsor's sole discretion due to prize unavailability for any reason, and only then for prize of comparable value. Sponsor reserves the right to award the actual cash equivalent of any prize in lieu of the prize itself. The prize is awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). All taxes associated with the receipt or use of any prizes and any shipping or handling charges are the sole responsibility of the winner. All entries will be declared made by the registered user of the e-mail address.  

5. PRIZE RESTRICTIONS. Winners are solely responsible for any and all expenses, (e.g., gratuities and incidentals), relative to participation in the Promotion (including acceptance of any prize) not specified herein. Grand Prize travel and arrangements are determined by Sponsor in its sole discretion and are subject to availability, holiday, blackout dates and other restrictions. If the Grand Prize winner is unavailable on trip dates, he/she may be disqualified and the prize forfeited. Grand Prize winner/travel companion must travel on the same itinerary and at the same time and are solely responsible for obtaining any/all necessary travel documents (including but not limited to valid photo I.D., passport, etc.) before departure. Any Grand Prize winner who is a minor must be accompanied by his/her parent/legal guardian as the Grand Prize winner's travel companion. Travel arrangements cannot be changed by winner or travel companions. If winner chooses not to take a guest, then the guest elements will be forfeited and the remaining elements shall constitute full satisfaction of the prize. If winner resides within a one hundred mile radius of the location, in the sole discretion of the Sponsor, ground transportation may be substituted for air travel, and no additional compensation will be awarded to the winner. Winner and travel companion must provide their own transportation to and from airport of departure. Sponsor is not responsible for travel delays. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates, or prize items. All events subject to change at Sponsor's discretion. Actual model, color, accessories and features of all prizes awarded shall be selected by Sponsor in its sole discretion and may vary from photos used in print, advertising, and in electronic and web banner advertising including the ESPN.com web site. THE WINNER IS SOLELY RESPONSIBLE FOR ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE.

6. PRIZE DELIVERY. Prize Winners should allow up to 6-8 weeks after they return their signed, notarized affidavit to receive their prize. Prizes returned as undeliverable or otherwise not claimed within fourteen (14) days after being sent will be forfeited. Potential winners will be notified via email (or overnight mail) sent within fifteen (15) business days following the end of the Promotion Period. Entrants are responsible for insuring that all mailing and e-mail information is up-to-date and accurate.

7. MINORS. If a potential winner is a minor in his/her jurisdiction of primary residence, potential winner's parent/legal guardian must execute all documents and agree to all obligations and undertakings required of the potential winner in these Official Rules, both on behalf of himself/herself and the potential winning minor. Prize may be awarded in the name of, or to, parent/legal guardian.

8. Background Check. Sponsor reserves the right to conduct a background check of any and all records of any winner/travel companion, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, winner/travel companion shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by winner/travel companion in his/her interview. In that regard, winner/travel companion will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify a winner/travel companion based on the background check, and select an alternate.

9. CONDITIONS OF PARTICIPATION: Promotion  Entrants agree to abide and be bound by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to this Promotion . This Promotion  is governed by, and these rules will be construed and interpreted pursuant to, the laws of the United States. All federal, state and local laws and regulations apply. All federal, state and local taxes, and all income and any other taxes, fees and surcharges will be the sole responsibility of the prize winner. EIV, ESPN, Inc., The Walt Disney Company, the Walt Disney Internet Group, and participating promotional companies (and the affiliates and subsidiaries of each) and agencies (i) make no warranty, guaranty or representation of any kind concerning any prize, (ii) disclaim any implied warranty; and (iii) are not in any way responsible or liable for damage, loss or injury resulting from altered, late, lost, damaged, misdirected, mutilated, inaudible, illegible or incomplete entries, or human, telephone, computer, online, or technical malfunctions or failures (including busy lines and disconnections), or acceptance and use of a prize. Winner assumes liability for injuries caused or claimed to be caused by participating in the Promotion , or by the acceptance, possession or use of any prize. Sponsor reserves the right, in its sole discretion to cancel, terminate, or suspend this Promotion  for any reason, including if: (a) viruses, bugs, unauthorized human intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion  occur; or (b) earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, or war or armed conflict (whether or not officially declared) occur. In such event, the prize winners will be selected by random drawing from all eligible entries received up to the time of such cancellation, termination or suspension.

10. RELEASE, PUBLICITY: By participating, Entrants agree to sign and notarize and return to Sponsor an AFFIDAVIT OF ELIGIBILITY & LIABILITY/PUBLICITY RELEASE FORM. Entrants also agree to release Sponsor and its respective parent companies, affiliates, subsidiaries, advertising/promotional agencies, and the employees, officers, directors and agents of any of the above organizations from any and all liability for any injuries, losses, or damages of any kind caused by participation in the Promotion  or the acceptance, possession or use/misuse of a prize or participation in any prize-related activities. Except as otherwise prohibited by law, by accepting prize, winner grants permission to use his or her name, address, likeness, photograph, and statements to Sponsor and its respective parent companies, affiliates, subsidiaries, and advertising/promotional agencies for advertising/publicity purposes in any and all media, worldwide, without further compensation.

11. DISPUTES/CHOICE OF LAW. Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in New York county, New York state, i.e., Manhattan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages"), and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. New York law, without reference to New York's choice of law rules, governs the Promotion and all aspects related thereto.

12. OFFICIAL RULES/WINNERS LIST: For a copy of these Official Rules and/or a list of winners, mail a self-addressed stamped envelope to the address below. Such requests must be received by Sponsor within thirty (30) days following the end of the Promotion (i.e., by October , 2008).
