THE FOLLOWING PROMOTION IS INTENDED FOR VIEWING IN THE 50 UNITED STATES (EXCLUDING, WITHOUT LIMITATION, PUERTO RICO AND OTHER US TERRITORIES), WASHINGTON, D.C. AND CANADA (EXLUDING QUEBEC) ONLY AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT PROCEED WITH THIS SWEEPSTAKES IF YOU ARE NOT LOCATED IN THE UNITED STATES (EXCLUDING PUERTO RICO AND OTHER US TERRITORIES), WASHINGTON, D.C. OR CANADA (EXCLUDING QUEBEC).

NO PURCHASE NECESSARY AT NBA.COM OR ELSEWHERE TO ENTER. THIS IS A GAME OF SKILL. WINNERS WILL BE DETERMINED BY THE OBJECTIVE CRITERIA SET FORTH BELOW.

1. CONTEST TERM:

Entries will be accepted beginning Thursday, April 19, 2001, at approximately 10:00 a.m. EST, and ending Saturday, April 21, 2001, at approximately 12:30 p.m. EST, prior to the opening tip-off of the first game of NBA Playoffs 2001. The NBA Playoffs Pick 'n' Roll contest shall close at the conclusion of NBA Finals 2001, and no later than Friday, July 6, 2001 (hereinafter "Contest Term"). From all eligible entries received, the winners will be determined based on their ability to use their skill and knowledge of National Basketball Association ("NBA") rules to accumulate the most points during the term of Pick 'n' Roll 2001 (the "Game") according to How to Play.

2. ENTRY:

Entries will be accepted beginning with the first posting of the "NBA.com Playoffs Pick 'n' Roll" game on Thursday, April 19, 2001, at approximately 10:00 a.m. EST, and will end on Saturday, April 21, 2001, at approximately 12:30 p.m. EST, prior to the opening tip-off of the first game of NBA Playoffs 2001. There is no charge for registration. Entries will be accepted through the online entry and selection form, or, you may mail your entry to: NBA.com Playoffs Pick 'n' Roll, 6 Production Drive, Brookfield, CT, 06804. All mailed-in entries must be postmarked by 12:30 p.m. EST on Saturday, April 21, 2001. No faxed, electronically mailed, or phoned in entries will be accepted. No responsibility is assumed by the NBA or its member teams, NBA Properties, Inc., or ESPN/Starwave Partners d/b/a ESPN Internet Ventures (hereinafter "EIV") for incomplete, late, lost or misdirected entries.

To enter, visit the ESPN.com website at espn.go.com. Entrants must have Internet access on or prior to April 19, 2001 to be eligible to participate. You must be a registered member of espn.go.com to enter. Registration is free. Members can enter by registering in one of the following ways:

a) Existing espn.go.com members should log in to the system with their current Member name and password. No other additional information will be requested.

b) Users who are not espn.go.com members can register by clicking on the link located on the front page. These users will be asked to provide their name, address, daytime and nighttime phone numbers, e-mail address, gender, birthday and to select a member name. espn.go.com will then send these users a password to the specified e-mail address, after which these users can log in with their member name and password.

MINOR POLICY: Entrants under the age of 13 may not play. If you are between the ages of 13 and 18, you must first obtain permission of your parent/legal guardian before entering online. Minors may enter only after becoming a registered user of espn.go.com, and providing their parent or legal guardian's e-mail address. EIV will notify the parent or legal guardian when their child has entered the Game.

You may be asked to consent to receive promotional e-mails and reminders for upcoming Walt Disney Internet Group promotions. Consenting to receive promotional or reminder e-mails is optional and does not have to be agreed to in order to be eligible to enter the Game.

LIMIT: ONE ENTRY PER PERSON (REGARDLESS OF WHETHER ONE PERSON HAS MORE THAN ONE E-MAIL ADDRESS) AND ONE ENTRY PER E-MAIL ADDRESS (REGARDLESS OF WHETHER MORE THAN ONE PERSON USES THE SAME E-MAIL ADDRESS) If more than (1) entry is received per person or e-mail address that person will not be eligible to win any prizes. Entry is not valid if it does not include first and last name, phone number, age, and a valid e-mail address. Only online entries will be accepted. No faxed, mailed, electronically mailed, or phoned in entries are allowed. All materials become the property of the Sponsor and none will be returned. Entrants' name and standing may be listed on the espn.go.com website.

In the event of a dispute about the identity of an entrant, entries will be declared made by the authorized account holder of the e-mail address submitted at time of entry. Authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be required to provide Sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. All online entries must be submitted from a valid e-mail account that may be identified by reverse domain name search.

All entries, along with all copyright, trademark and other proprietary rights associated therewith, become the property of ESPN/Starwave Partners d/b/a ESPN Internet Ventures ("EIV") upon submission, and will not be returned to any entrant. After entering, entrants may access their team from the Fantasy Games website at games.espn.go.com to track performance. In the event of a dispute about the identity of the online entrant, entries will be declared made by the authorized account holder of the e-mail address submitted at time of entry. 3. HOW TO PLAY:

After registering, contestants can participate in the game. The objective of NBA Playoffs Pick 'n' Roll 2001 is to correctly select the "winning pick" for each game of the 2001 NBA Playoffs and Finals during the Point Accumulation Period. The "winning pick" is defined as follows: The "winning pick" for a particular game is considered to be the team with the higher number of points after the completion of the game.

4. SCORING:

Using knowledge of NBA players' and teams' skills, the participant will select the winners of all series matchups in every round of the NBA Playoffs and Finals, and the number of games per series. For specific participant information, visit NBA.com's 2001 Playoffs section. As a tie-breaker, participants will also predict the total number of points scored in the deciding game of NBA Finals 2001, as well as the total number of points scored in the entire NBA Finals 2001.

Points will be awarded according to the number of correct series winners and "Number of Games in a Series" picks according to the following table:

* You must pick the correct winner of the series in order to receive points for picking the correct number of games in a series.

5. WINNER SELECTION:

One (1) Grand Prize winner, five (5) First Prize winners, and fifteen (15) Second Prize winners will be chosen. When entering online, a valid e-mail address, entered into the registration form, is required to be eligible to win (see Rule 6 regarding Eligible Entries).

From all eligible entries received, the Grand Prize winner will be judged by EIV as the participant with the highest number of total points. Five (5) First Prize and fifteen (15) Second Place prize winners will be judged to be the participants with the next highest number of total points, in descending order.

TieBreakers: In the event of a tie between two or more entries, the winning entry will be determined by the following tiebreakers, in order of listing. In all cases, an entry that does not win a tiebreaker is eliminated from consideration.

    Tiebreaker #1: The participant who most closely predicts the total number of points scored in the deciding game of NBA Finals 2001.

    Tiebreaker #2: The participant who most closely predicts the total number of points scored in the entire NBA Finals 2001.

In the event that two or more entries are still tied after these tiebreakers, the winning entry will be determined by random drawing.

The odds of winning depend upon the number of eligible participants tied with the identical highest score. Canadian residents must correctly answer a mathematical skill question before receiving prize.

Prize winners will be posted online on espn.com at the close of the Contest Term and no later than Friday, July 8, 2001, notified by mail within seven (7) days after the determination date, and must sign and return an affidavit of eligibility and publicity/liability within fifteen (15) days following attempted notification. Any prize notification returned as undeliverable may result in disqualification of the prize-winner and selection of an alternate winner. By accepting prizes, the winners grant permission to the NBA and its member teams, NBA Properties, Inc. NBA Media Ventures and EIV to use their names and/or likenesses for advertising and promotional purposes without further authorization or compensation, unless prohibited by law, and agree to execute a written consent to that effect prior to receipt of any prizes. All prizes will be sent via U.S. Mail after receipt of such written consent.

6. PRIZES:

  • One (1) Grand Prize winner will receive an "NBA.com Playoffs Pick 'n' Roll Grand Prize Pack," consisting of authentic autographed NBA Jersey, authentic autographed official NBA basketball and an autographed NBA player photo with a total retail value of US$500.00, to be awarded to the overall winner as determined at the close of the Contest Term (see Rule 5 regarding Winner Selection).
  • Five (5) First Prize winners will receive an "NBA.com Playoffs Pick 'n' Roll First Prize Pack," consisting of an assortment of $100 gift package which will include exclusive NBA and ESPN merchandise, with a total retail value of US$100.00, to be awarded to the contestants with next ten highest overall scores as determined at the close of the Contest Term (see Rule 5 regarding Winner Selection).
  • Fifteen (15) second prize winners will receive an "NBA.com Playoffs Pick 'n' Roll Second Prize Pack," consisting of a $50 gift package which will include exclusive NBA and ESPN merchandise with a total retail value of US$50.00, to be awarded to the contestants with next fifty highest overall scores as determined at the close of the Contest Term (see Rule 5 regarding Winner Selection).

All prizes will be awarded regardless of the number of participants or amount of entry fees received. Prizes are not transferable and no substitution of prizes is permitted except that EIV reserves the right to substitute a prize of equivalent value or greater if a prize is unavailable. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) ALL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZES AND ANY SHIPPING OR HANDLING CHARGES ARE THE SOLE RESPONSIBILITY OF THE WINNER.

7. NOTIFICATION:

Winners will be notified by e-mail, phone, U.S. mail and /or overnight courier within seven (7) days after the determination date. The Grand Prize winner must sign and return an affidavit of eligibility and publicity/liability release within ten (10) days following attempted notification. Failure to comply within this time period may result in disqualification and selection of an alternate winner. Any prize/prize notification returned as undeliverable may result in disqualification and selection of an alternate winner. It is the responsibility of the entrant to keep all mailing and e-mail information up-to-date and accurate. Winners should allow up to 6-8 weeks after they return their signed, notarized affidavit to receive their prize.

Minors will be required to provide EIV with a Parental Permission Form, which will be sent to all potential prize winners who are minors. To be eligible to receive prizes, the Parental Permission Form must include a parent's or legal guardian's signature (signifying approval of child's entry in Game) and be returned by mail (or by fax) to the address (or fax number) indicated on the Form within fourteen (14) days of notification. Any minor who does not provide this completed and executed Parental Permission Form within fourteen (14 days) will forfeit his or her right to be declared a winner and/or win a prize.

By accepting a prize, the winner grants permission to EIV to use their names, photographs, likenesses, voices, prize information and/or biographical information for publicity and promotional purposes without further compensation, unless prohibited by law. If a winner is disqualified an alternate winner will be selected.

8. ELIGIBLE ENTRIES:

This Game is open only to legal residents of the U.S., Canada and Puerto Rico, unless prohibited by law, provided that residents of the province of Quebec may play and have their places noted in the standings, but are not eligible to win any prizes. Canadian winners may be required to take and pass a timed mathematical skill testing question. Minors must first obtain permission of parent/legal guardian before entering online (see "Entry" below). Employees and the immediate families of employees of the NBA and its member teams, NBA Properties, Inc., NBA Media Ventures, ESPN Inc., EIV, their affiliates, distributors, divisions subsidiaries, licensees, sponsors, licensed retailers, advertising and promotion agencies and any Game promotional partners are not eligible to enter or win this Game.

9. GAMBLING PROHIBITION:

This Game may not be used in connection with any form of gambling.

10. DISCLAIMER; CONSENT:

The NBA and its member teams, NBA Properties, Inc., NBA Media Ventures, ESPN Inc., EIV, their distributors, affiliates, divisions and subsidiaries, licensees and licensed retailers, and any subsidiary or affiliate of it will not be responsible for: (a) any late, lost, garbled, misdirected, incomplete, or damaged entries; (b) any Game disruptions, injuries, losses or damages caused by events beyond the control of EIV; or (c) any printing or typographical errors in any materials associated with the Game. By entering the Game, the entrant consents to placement on a mailing list for promotional and other materials, and grants to EIV the right to use and publish the entrant's proper name, state or province of residence, score, and ranking online and in any other media in connection with the Game, unless prohibited by law. In the event that the NBA season, playoff season, or any particular game is postponed, terminated early, or canceled for any reason (such as a strike or lockout), EIV reserves the right to award prizes based on scores at the time the season is disrupted, or to cancel, modify or suspend the Game at its discretion.

11. TERMS:

Contest participants agree to abide by the terms of these Official Rules and by the decisions of EIV, which are final on all matters pertaining to this contest. All federal, state and local laws and regulations apply. All federal, state and local taxes will be the sole responsibility of the prize winners. The NBA and its member teams, NBA Properties, Inc., ESPN Inc., EIV, their distributors, affiliates, divisions and subsidiaries, licensees and licensed retailers are not in any way responsible or liable for damages, loss or injury resulting from computer malfunctions, late, lost, incomplete, ineligible or misdirected entries, or acceptance and use of the prizes. Winners assume liability for injuries caused or claimed to be caused by participating in the contest, or by any prizes. By entering the "NBA.com Playoff Pick 'n' Roll" contest, participants grant the NBA and EIV permission to display their names online. Game entrants agree to abide and be bound by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to this Game. This Game is governed by, and these rules will be construed and interpreted pursuant to, the laws of the United States. All federal, state and local laws and regulations apply. All federal, state and local taxes, and all income and any other taxes, fees and surcharges will be the sole responsibility of the prize winner. EIV, and any participating promotional companies (and the affiliates and subsidiaries of each) and agencies (i) make no warranty, guaranty or representation of any kind concerning any prize, (ii) disclaim any implied warranty; and (iii) are not in any way responsible or liable for damage, loss or injury resulting from altered, late, lost, damaged, misdirected, mutilated, inaudible, illegible or incomplete entries, or human, telephone, computer, online, or technical malfunctions or failures (including busy lines and disconnections), or acceptance and use of a prize or travel in connection with such prize. Winner assumes liability for injuries caused or claimed to be caused by participating in the Game, or by the acceptance, possession or use of any prize. By entering, participants agree that no claim relating to such damages, losses or injuries shall be asserted against the NBA and its member teams, NBA Properties, Inc., NBA Media Ventures, EIV, any of its affiliates, parents, subsidiaries, directors, officers, principals, shareholders, employees or agents. By accepting a prize, winner agrees to release and hold EIV harmless from any and all damages, losses, rights, claims and actions of any kind resulting from the acceptance, possession or use of any prize, including without limitation, personal injuries, death and property damage. EIV is not responsible for typographical or other errors in the offer or administration of this Game, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the winner or the distribution of the prizes. By entering the Game, entrants consent to being placed on a mailing list for promotional and other materials.

12. CONDUCT:

The Official Rules will be posted at the Game web site throughout the Game. EIV reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Game or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. EIV reserves the right to lock out an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Game.

CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ALTER OR DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, EIV RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

13. LIMITATIONS OF LIABILITY:

EIV is not responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Game or by any technical or human error that may occur in the processing of submissions in the Game. EIV assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft of or destruction or unauthorized access to, or alteration of, entries. EIV is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or entrants due to or resulting from technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Game. If, for any reason, the Game is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of EIV, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Game, EIV reserves the right at its sole discretion to cancel, terminate, or suspend the Game and in such event, to select winner by random drawing from all valid entries received up to the time of cancellation, termination or suspension.

14. RULES:

This Game is subject to these Official Rules and How to Play, and any other rules sets expressly referenced herein. Game entrants agree to abide by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to this Game. EIV reserves the right to change these Official Rules at any time, in its sole discretion. Official Rules may be obtained on the ESPN.com site at espn.go.com until June 22, 2001, or by sending a SASE to:

Within 30 days of the end of the Game, a winner's list may be obtained one week after the conclusion of Game by sending a SASE to the address above.

15. PRIVACY:

By entering this contest, participants agree that they may receive e-mail regarding future NBA contests and special events, and that their names and addresses may be given to NBA merchandising partners.

If a participant does not wish to receive any such e-mail, or if a participant does not wish his/her name and address to be given to NBA merchandising partners, the participant should indicate so in the space provided on the registration form. Please review the NBA.com Privacy Policy if you need more information.

16. HEADERS:

The section headers contained herein are provided for convenience purposes only and shall not be used to modify or interpret the terms of these Official Rules.

17. SEVERABILIRY:

In the event that any provision of the Official Rules is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the Official Rules shall remain valid and enforceable according to its terms. The parties intend that the provisions of the Official Rules be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable.
